• Consumers may bring legal proceedings either in Spain or in their country of residence.
• Businesses agree to submit exclusively to the courts of Spain.
Before litigation, both parties agree to seek mediation or alternative dispute resolution (ADR).

We may update these Terms at any time. Notices of significant changes may be emailed or posted on the website. Continued use constitutes acceptance.

20. Wholesale & B2B Terms
These additional terms apply to wholesale buyers, resellers, distributors, or any business entity purchasing products from Lumina Lovers for resale or commercial use (“Wholesale Clients”).
These Wholesale Terms apply in addition to the general Terms of Service. In case of conflict, these Wholesale Terms prevail for B2B transactions.
Please, contact us before placing any wholesale orders.
20.1 Eligibility
Wholesale purchases are available only to verified businesses or professionals acting within the scope of their commercial activity.
By placing a wholesale order, you confirm that:
• You are authorised to represent the business.
• You are purchasing for resale, commercial use, or professional purposes.
20.2 Wholesale Minimum Order Requirements
Wholesale orders may require:
• Minimum quantities per SKU or per order
• Lead times for production or restocking
• Deposit payments where applicable
These terms will be communicated during the wholesale onboarding process or prior to confirming an order.
20.3 Wholesale / B2B Purchases and Payment Terms
Wholesale pricing is separate from retail pricing and may vary.
• Wholesale purchases are available only to verified business clients.
• Clients must provide valid EU VAT numbers.
• B2B orders with valid VAT numbers are not charged VAT (reverse charge applies).
• For all other customers, VAT is charged according to their country of residence under the OSS system.
• Prices exclude shipping unless stated.
• Payment is due in full before production or shipment.
• Orders are processed only after payment.
• Unpaid invoices may delay delivery.
• Minimum order quantities may apply.
• Wholesale terms may be covered under separate agreements.
• Consumer protections do not apply to B2B sales unless stated.
20.4 Custom & Private Label Orders
Custom, branded, or private-label orders are final sale.
Design files, samples, and production materials may require additional fees.
Lumina Lovers retains all intellectual property rights unless explicitly transferred by written agreement.
20.5 Returns & Refunds (Wholesale)
Wholesale/B2B purchases do not follow consumer return rights.
Unless a defect is proven:
• No returns, exchanges, or cancellations are accepted after order confirmation
• Deposits are non-refundable
• Minor variations are not considered defects
Defective products must be reported within 7 days with photographic evidence.
20.6 Delivery & Risk Transfer
For wholesale shipments:
• Risk transfers to the buyer once handed to the carrier
• Delivery dates are estimates only
• Customs fees and delays are the responsibility of the Wholesale Client
20.7 Resale & Branding Rules
Wholesale Clients may resell products provided they:
• Do not misrepresent origin
• Comply with fair commercial practices
• Display branding respectfully
Rebranding or removing labels requires written permission.
20.8 Limitation of Liability (Wholesale)
To the fullest extent permitted by Spanish law:
• Indirect or business losses are excluded
• Total liability is limited to the order value
Consumer protections do not apply to wholesale/B2B purchases.
